Reseller Agreement

This Reseller Agreement, effective as of the submittal data of the Consulting Practice Online Subscription Agreement ("Effective Date"), is between Business Network Solutions, LLC, and identified in the Reseller information section of the Agreement.

  1. Definitions:
  2. I understand that I am not an employee or franchise owner or extension of Business Network Solutions, LLC, Inc. I understand that I/we are an Independent Reseller and will not be as an employee for purposes of the Social Security Act, The Federal Unemployment Tax Act, Income Tax withholding at source, the Federal Insurance Contributions Act, or any laws governing employees. I understand that Business Network Solutions, LLC, Inc. will provide, as provided by law appropriate documentation of compensation to the reseller and said reseller shall be responsible for any and all taxes from the reseller to the appropriate government governing the reseller.
  3. I hereby agree to conduct myself in the highest standards of ethics, honesty and integrity, and to conduct myself as a reseller in a legal manner according the laws governing "me" (the reseller) and laws governing Business Network Solutions, LLC, Inc. Additional, I hereby agree to the official Business Network Solutions, LLC Inc. Code of Ethics as posted on http://www.endlessrise.com.
  4. Confidentiality: I shall treat all conversations and business information shared between Business Network Solutions, LLC, Inc. and my company as strictly confidential. This includes, trade, specific methodology, software use, business practices made known to me by Business Network Solutions, LLC, Inc. within the realm of the performance and business relationship outlined in this agreement. I will also ensure that everyone associated with my company (resellers, employees, vendors, contractors, partners) will observe these agreement terms. Such obligation will survive a termination of contract.
  5. I understand that I am strictly prohibited from using the Business Network Solutions, LLC, Inc. name or logo in any printed form unless approved by Business Network Solutions, LLC, Inc.
  6. I agree that as an Independent Reseller of Business Network Solutions, LLC, Inc. the Terms and Conditions that I agree to do not apply to my business or relationships with resellers of my own. The terms and service in this document are for the business relationship between me and Business Network Solutions, LLC, Inc. only.
  7. Business Network Solutions, LLC, Inc. shall collect all monies (subject to change with a 30 day advanced notice to the reseller) and shall continue servicing reseller's clients on a 30 days basis starting on the 25th of each month. Any campaign beginning earlier than the 25th of that month will be prorate the amount owed from X beginning day until the 25th. Upon the 25th monthly payments will commence from every month thereon. In this situation the last month will also be prorated accordingly and billed on the 25th of the previous month for the pro-rated amount. Resellers will be sent their bill (invoice) on the 20th of each month, 5 days prior to the due date. If the payment in full is not received by the due date (25th) Business Network Solutions, LLC, Inc. will immediately suspend services on the day after the due date and discontinue all work for the individual client or clients that payment was not received for. This action of non-payment resulting in suspension of the clients account will dissolve Business Network Solutions, LLC, Inc. from our Guarantee and any further expectations of provided service since the reseller or client did not pay for the services. I the reseller do have the opportunity to reinstate the clients account and services with payment of the amount due plus a $50 reinstatement fee. Once this total amount is paid Business Network Solutions, LLC, Inc. will reinstate services. I agree even if a client or clients account's SEM & SEO services have been reinstated and continued that the Business Network Solutions, LLC, Inc. guarantee will not be applicable for the remaining amount of time the client is served. If a reseller reinstates a campaign after X amount of days past with the particular account or accounts in suspension, those days are forfeited for work and the client's campaign end date remains the same as stated in the initial campaign. Once a campaign is suspended the guarantee is voided, even if reinstatement occurs due to loss of work days. However, in the event of re-instatement EndlessRise will work diligently to achieve results in the same manner and work ethic as if still under a guarantee.
  8. I understand that I have the right to assign my business by sale or will to any other person, partnership, or corporation, and furthermore have the right to end using Business Network Solutions, LLC, Inc. services but, will complete the current contract agreements of clients being currently serviced.
  9. I understand that I may not make any misleading or false statement or representation regarding Business Network Solutions, LLC, Inc. products, services, and agreements other than those contained in materials provided directly by Business Network Solutions, LLC, Inc.
  10. I understand that the company may modify terms and conditions, policies and procedures upon reasonable notice to its Independent Resellers which shall not be less than 30 days.
  11. I understand that this agreement, including Business Network Solutions, LLC, Inc. policies and procedures and FAQ incorporated herein by reference, constitutes the entire agreement between the parties herein and no other additional promises, representations, guarantees, or agreements of any kind shall be valid unless specified and signed in writing.
  12. This agreement shall be interpreted under the law of the United States of America. Any unresolved dispute will be exclusively resolved by binding arbitration under the commercial rules of the American Arbitration Association with arbitration to occur at a determined location agreed on by Business Network Solutions, LLC, Inc. legal counsel.
  13. Business Network Solutions, LLC, Inc. accepts payments via PayPal and PayPal accepts numerous types of payments including but not limited to, all major credit card types, bank account payments and PayPal transfers. Business Network Solutions, LLC, Inc. also accepts wire transfers. I agree that service will not start on client services until the payment is received by Business Network Solutions, LLC, Inc.
  14. I understand that Business Network Solutions, LLC, Inc. may terminate my Business Network Solutions, LLC, Inc. agreement and immediately stop client services if I fail to comply with this agreement. Furthermore, I agree to accept and abide by the accepted posted online use policies as posted in the EndlessRise Code Of Ethics.
